These General Terms and Conditions apply to all offers, orders and deliveries of TDS GmbH, Säntisweg 3, 8604 Volketswil, Switzerland (“TDS Wear”, “we”). Deviating terms of the customer apply only if we have accepted them in writing.

1. Offers and contract

Our offers are non-binding. A contract is concluded when we confirm an order in writing (including by email) or start production. For custom products, the order becomes binding once the customer has approved the final design.

2. Custom design and approval

For sublimation and other custom products we create a digital mockup based on the customer’s specifications. The customer checks the mockup carefully, in particular texts, names, numbers, sizes, logos and colours, and confirms it in writing. Errors in an approved design are the customer’s responsibility.

Colours on screen and in mockups can differ slightly from the printed result due to screen settings and fabric. Small deviations in colour, print position and size are typical of the production process and are not a defect.

3. Rights to logos and artwork

The customer confirms that they hold all rights to the logos, sponsor marks, names and artwork they supply, and releases TDS GmbH from any claims by third parties in this regard. We may refuse orders with content that is unlawful or infringes the rights of others. Designs created by TDS GmbH remain our intellectual property unless agreed otherwise.

4. Prices and payment

All prices are in euros (EUR). Prices and payment terms are as stated in our offer or order confirmation. Unless agreed otherwise, prices exclude shipping costs, customs duties and import taxes. For custom orders we may require a deposit or full prepayment before production starts.

5. Production and delivery

Production and delivery times are given in the order confirmation and start after design approval and receipt of any agreed payment. Delivery times are estimates; delays caused by suppliers, transport or force majeure do not entitle the customer to withdraw or claim damages, unless a fixed date was expressly agreed in writing. The risk passes to the customer when the goods are handed over to the carrier.

6. Sizes

The customer is responsible for selecting the correct sizes. We are happy to provide size charts or sample sizes before ordering. Custom products cannot be exchanged for a different size.

7. Cancellation and returns

Custom products are made individually to the customer’s specifications. Once the design has been approved, the order cannot be cancelled, and custom products cannot be returned or exchanged, except in the case of defects (section 8). This also applies to consumers in the EU, where the statutory right of withdrawal does not apply to goods made to the customer’s specifications.

8. Inspection and defects

The customer must inspect the goods immediately upon receipt and report any defects in writing, with photos, within 8 days. Hidden defects must be reported immediately after discovery. For justified complaints we will, at our choice, repair or replace the goods or issue a credit. Statutory rights of consumers remain unaffected.

9. Liability

Our liability is limited to intent and gross negligence, to the extent permitted by law. We are not liable for damage caused by improper use, washing or care contrary to the care instructions.

10. Data protection

We process personal data in accordance with our Privacy Policy.

11. Applicable law and jurisdiction

These terms and all contracts are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the registered office of TDS GmbH. Mandatory consumer protection provisions at the consumer’s place of residence remain reserved.
